1. What this document is
You (the "External Collaborator") have received an invitation from a customer of Innovato Consultancy (trading as TransformicsAI) to access data on the TransformicsAI platform as an external advisor, consultant, or similar third party.
These Terms govern your access. By clicking "Accept" on the invitation page you (a) accept these Terms, (b) acknowledge that access is granted by the inviting customer (the "Inviting Customer"), not by TransformicsAI, and (c) confirm that the email you're signing in with matches the invitation's intended recipient.
2. Nature of the relationship
No direct subscription. You are not a customer of TransformicsAI under these Terms. You have no subscription, no billing relationship, and no independent entitlement to the Service. Your access ends on the earlier of grant expiry, revocation by the Inviting Customer, or termination of the Inviting Customer's subscription.
Sub-processor to the Inviting Customer. Under GDPR Article 28(2) you act as a sub-processor engaged by the Inviting Customer to process personal data the Inviting Customer controls. TransformicsAI processes data on the Inviting Customer's documented instructions; the invitation you received is one such instruction.
3. Scope of access
Your access is strictly limited to the company profile(s) named in the invitation. You may not access, attempt to access, or request access to any other client within the Inviting Customer's workspace or any other customer's data.
Your access is time-bounded. It expires on the date shown in the invitation (or when revoked). After expiry, the platform will return an error.
You may view, interact with, and download reports for the purpose of advising the Inviting Customer. You may NOT copy, export, transmit, or retain data outside the Service beyond what is strictly required to deliver your advisory work, use the data for your own research or benchmarking, aggregate it with other clients' data, or resell or disclose it to any third party.
4. Confidentiality
All Customer Data accessible through your grant is confidential information of the Inviting Customer. Obligations survive revocation or expiry for five (5) years, or as long as trade-secret status is maintained, whichever is longer.
5. Data protection
You shall process personal data only on the Inviting Customer's documented instructions, apply appropriate technical and organisational measures (strong passwords, MFA where offered, device locking, no session sharing), not engage any further sub-processor without the Inviting Customer's prior written consent, cooperate with data-subject requests and investigations, and notify the Inviting Customer AND privacy@transformics.ai without undue delay of any actual or suspected breach.
6. Account hygiene
You must accept and log in from the exact email address the invitation was sent to. Login credentials are personal, no colleague sharing, even within the same firm. If a colleague needs access, the Inviting Customer's admin must issue them a separate invitation.
7. Activity logging and transparency
The Service logs your actions under the grant (endpoints called, campaigns viewed, reports downloaded, timestamps). These logs are visible to the Inviting Customer's admin and are retained per the Inviting Customer's DPA retention window. You have no privacy expectation against the Inviting Customer within the scope of your grant.
8. Revocation
The Inviting Customer's admin may revoke your access at any time, for any reason, with or without notice, revocation is immediate. TransformicsAI may also suspend or revoke access on observed abuse or a threat to other customers, notifying the Inviting Customer's admin. You may voluntarily stop using the Service at any time and email privacy@transformics.ai to request earlier revocation.
9. No warranty to you
The Service is provided to you "as-is" and "as-available", without warranty of any kind. TransformicsAI's service warranties and SLAs (where any exist) run to the Inviting Customer, not to you. Issues with Service availability should be raised with the Inviting Customer, who may escalate under their MSA.
10. Limitation of liability to you
To the maximum extent permitted by law, TransformicsAI shall have no liability to you arising from these Terms or your use of the Service, except for liabilities that by law cannot be excluded. Your remedies, if any, lie against the Inviting Customer.
11. Indemnity
You shall indemnify and hold harmless both the Inviting Customer AND TransformicsAI against third-party claims arising from your breach of these Terms, your use of the Service outside the scope of the Inviting Customer's instructions, or your exfiltration, misuse, or unauthorized disclosure of data accessed through your grant.
12. Governing law
These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules. Disputes between you and TransformicsAI shall be subject to the jurisdiction of the courts of Amsterdam, the Netherlands. Disputes between you and the Inviting Customer are governed by whatever agreement governs your engagement with that customer, not by these Terms.
