1. Acceptance of Terms
By accessing or using the Transformics platform (the "Service") operated by Innovato Consultancy ("Transformics", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
Enterprise-tier customers: Where you have executed a Master Service Agreement ("MSA") with us, the MSA and its Exhibits, together with the Data Processing Agreement ("DPA") and any applicable rider (including the DORA Financial-Sector Rider for Financial Entities), supersede these Terms to the extent of any conflict. A counter-signable DPA is available at /legal/dpa.
2. Definitions
- •"Service", The Transformics AI Transformation Operating Cockpit, including all diagnostic modules, web interfaces, APIs, AI agents, and related tools.
- •"Platform", The web application accessible at our designated URL through which you interact with the Service.
- •"Assessment", A diagnostic evaluation using one or more modules (AI Maturity, AI Literacy, Future Skills, Innovation Climate, Entrepreneurial Talent Pool), including data collection, scoring, and report generation.
- •"User", Any individual who creates an account and uses the Service.
- •"Company Data", Information about an organization that you provide or that is collected during an Assessment, including company details, stakeholder interview responses, and uploaded documents.
- •"Report", The AI-generated executive assessment report produced as output of an Assessment.
3. Service Description
The Service is an AI-powered diagnostic platform organized into four pillars, Adoption, Workforce, Innovation, and Engineering, with ten assessment modules that evaluate organizational AI maturity, workforce readiness, future skills, innovation climate, entrepreneurial talent, sovereign AI readiness, AI production readiness, and data infrastructure readiness.
The platform includes cross-module intelligence that detects patterns across completed modules, role-based executive views (CEO, CHRO, CIO/CDO, BU Head), and a Management Agenda document with a 12-month transformation roadmap.
4. Account Registration
To use the Service, you must create an account using one of our supported authentication methods: Google OAuth, Microsoft OAuth, or email magic link. You agree to:
- •Provide accurate and complete registration information
- •Maintain the security of your account credentials
- •Notify us immediately of any unauthorized use of your account
- •Accept responsibility for all activities that occur under your account
Each individual may maintain only one account. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Subscription and Payment
5.1 Subscription Tiers
The Service is offered through the following subscription plans:

All prices are in US dollars and exclusive of applicable VAT or sales tax. Subscription plans are billed quarterly; the Paid Pilot is a one-time charge. Enterprise pricing is agreed by contract. Current pricing is always shown on the pricing page.
5.2 Billing and Renewal
Subscriptions are billed through Stripe and renew automatically at the end of each billing period. You authorize us to charge your payment method on file for each renewal period. You may cancel your subscription at any time through the customer portal accessible from your dashboard.
5.3 Cancellation and Refunds
You may cancel your subscription at any time. Upon cancellation:
- •Monthly plans: Access continues until the end of the current billing period. No refund for the remaining days.
- •Annual plans: If cancelled within the first 30 days, you may request a pro-rata refund for unused full months. After 30 days, access continues until the end of the annual period with no refund.
- •All assessment data and reports remain accessible for the duration specified in our data retention policy.
5.4 Paid Pilot Credit
An organization that buys the Paid Pilot receives a credit toward its first annual subscription, on these terms:
- •The credit equals the amount the organization paid for the Paid Pilot, after any discount, up to $499.
- •It applies when the organization subscribes to an annual plan (Starter, Team or Business) at any time from the purchase of the pilot until 30 days after the pilot expires. It is shown as a deduction at checkout and no code is needed.
- •One credit applies per organization. It applies to the first invoice of the annual plan only, cannot be combined with a promotion code, has no cash value and cannot be transferred.
- •Subscribing while the pilot is still running starts the annual plan immediately and ends the remaining pilot period.
- •The credit is void if the pilot payment is refunded or disputed.
6. Acceptable Use
You agree to use the Service only for lawful purposes. You shall not:
- •Submit fraudulent, misleading, or intentionally inaccurate company data
- •Attempt to reverse engineer, decompile, or disassemble any part of the Service
- •Use automated tools, bots, or scripts to access the Service (except through our documented API)
- •Resell, redistribute, or commercially exploit assessment reports without our prior written consent
- •Upload documents containing malware, viruses, or harmful code
- •Attempt to access another user's account or data
- •Use the Service to process data that violates any applicable law or regulation
- •Interfere with or disrupt the Service's infrastructure or other users' use of the Service
7. Intellectual Property
7.1 Our Property
Transformics retains all rights, title, and interest in the Service, including the diagnostic methodologies, scoring frameworks, cross-module intelligence engine, AI agents, report templates, and all related software, algorithms, and documentation. These Terms do not grant you any ownership rights to the Service.
7.2 Your Data
You retain full ownership of all Company Data you provide to the Service. By using the Service, you grant us a limited license to process your Company Data solely for the purpose of delivering Assessments and operating the Service.
7.3 Assessment Reports
Assessment Reports generated by the Service are licensed to you for internal business use and for sharing with your clients, stakeholders, or board members. You may not resell Reports as a standalone product without our prior written consent. The scoring methodology and framework structure within Reports remain our intellectual property.
8. Data Processing
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge and agree to the data processing practices described therein.
Documents uploaded for assessment are processed by our AI agents for evidence extraction. Uploaded documents are stored encrypted and kept until you delete them or your organization is deleted, and they are not used for any other purpose.
9. AI-Generated Content Disclaimer
Assessments, scores, reports, and recommendations produced by the Service are generated by artificial intelligence systems. You acknowledge and agree that:
- •AI-generated outputs are advisory in nature and should not be treated as a substitute for professional consulting, auditing, or strategic advice
- •Assessment scores and maturity levels are based on the data provided and publicly available information; their accuracy depends on the completeness and accuracy of input data
- •Transformics does not guarantee the accuracy, completeness, or reliability of any AI-generated output
- •You are responsible for validating assessment findings with qualified professionals before making significant business decisions based on them
- •AI models may occasionally produce errors, hallucinations, or inconsistent results
- •The scoring methodology is designed for comparative benchmarking and organizational insight, not for regulatory compliance certification
Transformics shall not be held liable for any business decisions made solely on the basis of AI-generated assessment outputs.
10. Service Availability
We use commercially reasonable efforts to ensure the Service is available and operational. However:
- •We do not guarantee any specific uptime percentage or service level agreement (SLA)
- •The Service may be temporarily unavailable due to scheduled maintenance, updates, or unforeseen technical issues
- •We will endeavor to provide advance notice of scheduled maintenance when possible
- •We are not liable for any loss or damage resulting from Service unavailability
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- •Transformics's total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to Transformics in the twelve (12) months preceding the claim.
- •Transformics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- •Transformics shall not be liable for any damages arising from reliance on AI-generated assessment outputs, scores, or recommendations.
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if Transformics has been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Transformics, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- •Your use of the Service in violation of these Terms
- •Submission of fraudulent, misleading, or inaccurate Company Data
- •Your breach of any applicable law or regulation
- •Any third-party claim related to Company Data you provided to the Service
13. Termination
Either party may terminate the relationship under these Terms:
- •You may cancel your subscription and stop using the Service at any time via the customer portal
- •We may terminate your account immediately if you materially breach these Terms
- •We may terminate your account with 30 days' written notice for any other reason
Upon termination:
- •Your right to access the Service ceases immediately (or at the end of the paid period, for cancellations)
- •Assessment data and reports are retained in accordance with our Privacy Policy's data retention schedule
- •You may request export or deletion of your data by contacting us
- •Provisions that by their nature should survive termination (including liability limitations, indemnification, and governing law) shall survive
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Transformics regarding the Service. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.
